We reserve the right to modify, update, suspend, or discontinue any service at our discretion.
2. Eligibility
To use our services, you must:

Have the legal authority to enter into binding agreements.
Provide accurate and complete information.
3. Client Responsibilities
You agree to:
Provide timely access to required accounts, platforms, and assets.
Supply accurate information necessary for service delivery.
Review and approve deliverables within reasonable timeframes.
Comply with applicable laws, regulations, and platform policies.
Delays caused by missing information, approvals, or access may impact project timelines.
4. Advertising Platforms & Third-Party Services
Our services may involve third-party platforms including Meta, Google, WhatsApp, CRM systems, hosting providers, and other software services.
Adylize is not responsible for:
Platform outages or disruptions
Account suspensions by third-party providers
Policy changes made by advertising platforms
Third-party software limitations or errors
5. Payments
All invoices are payable according to agreed payment terms.
Ongoing services may require advance monthly payments.
Failure to make payments may result in suspension of services.
Any applicable taxes, duties, or government charges remain the responsibility of the client.
6. Refund Policy
Due to the nature of digital marketing and professional services:
Payments are generally non-refundable once work has commenced.
Completed work, consultations, strategy sessions, advertising management, development services, and setup fees are non-refundable.
Refunds, if approved, shall be at the sole discretion of Adylize.
7. Intellectual Property
Until full payment is received:
All strategies, designs, reports, systems, and deliverables remain the property of Adylize.
Upon full payment:
The client receives ownership rights to approved deliverables unless otherwise agreed in writing.
The client retains ownership of their brand assets, advertising accounts, business data, and intellectual property.
8. Confidentiality
Both parties agree to maintain the confidentiality of any non-public business, financial, marketing, or technical information shared during the engagement.
Neither party shall disclose confidential information without prior written consent, except where required by law.
9. No Guarantee of Results
While Adylize applies proven strategies and industry best practices, we do not guarantee:
Specific sales results
Revenue targets
Lead volume
Advertising performance
Search rankings
Business growth outcomes
Results depend on numerous factors outside our direct control, including market conditions, competition, offer quality, sales processes, and platform algorithms.
10. Limitation of Liability
To the maximum extent permitted by law, Adylize shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
Our total liability shall not exceed the amount paid by the client for services during the preceding three months.
11. Suspension & Termination
Adylize may suspend or terminate services if:
Payments remain overdue.
Required cooperation is not provided.
Platform policies or applicable laws are violated.
The engagement creates legal, regulatory, or reputational risks.
Clients may terminate services by providing written notice and settling any outstanding payments.
12. Compliance & Acceptable Use
Clients agree not to use our services for activities that are:
Fraudulent
Misleading
Harmful
Unlawful
In violation of advertising platform policies
Adylize reserves the right to refuse or discontinue services where such activities are identified.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.
14. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be posted on this page with a revised “Last Updated” date.
Continued use of our website or services constitutes acceptance of any updates.
